These Terms of Service (“ToS”) govern your use of Vizz scale’s services. By engaging our services, you agree to these terms.

1. Scope of Services
We provide Meta ad management, Google ad management including campaign strategy, ad creative, targeting, optimization, and reporting.

2. Client Obligations
You agree to provide:

Agreed ad budget in your ad account

Access to your Meta/Google ad accounts and analytics

Timely feedback and required assets

3. Payment Terms
Retainer: A monthly fee (as agreed per client) payable in advance.

Performance Fees: Charged per qualified lead at the agreed rate.

Invoicing: Sent monthly; payment due within 15 days.

Late Payments: Subject to a 1.5% late fee per month on overdue balances.

4. Term & Termination
Initial Term: Month-to-month with a 2-month minimum (or 6-month minimum if specified).

Renewal: Automatically renews each month after the minimum term.

Termination: Either party may terminate with 30 days’ written notice after the initial term.

5. Intellectual Property
You retain ownership of your brand assets.

We retain ownership of ad creative, campaign data, and reporting dashboards until full payment. Upon payment, ownership transfers to you.

6. Confidentiality
Both parties agree to keep confidential all proprietary information (strategies, budgets, client data) and not disclose to third parties.

7. Limitation of Liability

No Guarantee of Specific Results: While we optimize for performance, we cannot guarantee specific ad outcomes or revenue.

Liability Cap: Our total liability is limited to the total fees paid by you in the prior 1 month.

8. Governing Law & Dispute Resolution
Jurisdiction: India

Dispute Resolution: Any dispute under this Agreement will first go to non-binding mediation under IIAC Mediation Rules. If not resolved within 30 days, it will be finally settled by binding arbitration in [hanmakonda, India] under the Indian Arbitration and Conciliation Act, 1996 (IIAC), in English; the award is final and enforceable in any court.

9. Modifications
We may update these ToS once per month. We will provide 30 days’ notice of any material changes.
